Davis Polk advised Morgan Stanley and Co. LLC as joint-lead and sole book-running manager in connection with the offering by Seagate HDD Cayman of USD1 billion aggregate principal amount of its 4.75% senior notes due 2025. The notes are unconditionally guaranteed by Seagate Technology plc. The notes were sold in an offering exempt from registration pursuant to Rule 144A and Regulation S. Davis Polk also advised Morgan Stanley in connection with cash tender offers by Seagate for any and all of its 7.75% senior notes due 2018 and up to USD300 million of its 7% senior notes due 2021 and 6.875% senior notes due 2020.
